Organizer Terms

These Organizer Terms ("Organizer Terms") govern your use of the Hangeo platform, mobile application, website, and all related services (collectively, the "Service") in your capacity as an event organizer ("Organizer"). By activating organizer features, creating an event listing, or otherwise using the Service to organize, promote, or manage events, you agree to these Organizer Terms in addition to the Hangeo Terms of Service, Privacy Policy, and Community Guidelines. In the event of conflict between these Organizer Terms and the Terms of Service with respect to organizer-specific matters, these Organizer Terms govern.
If you do not agree to these Organizer Terms, you may not use organizer features on the Service.
1. Hangeo Is a Technology Platform Only
Hangeo, Inc. ("Hangeo," "we," "us," "our") is a technology platform and nothing more. Hangeo provides software tools that allow organizers to create event listings, connect with dancers, and manage event information. Hangeo does not organize, co-organize, produce, co-produce, promote, co-promote, staff, manage, operate, or sponsor any event listed on the Service.
Hangeo does not control venues, supervise attendees, review permit applications, inspect safety conditions, or assume any operational involvement in any event. The presence of an event listing on the Service does not represent any endorsement, verification, approval, or guarantee by Hangeo of the event, the organizer, the venue, the content, or the safety of the event.
All events listed on the Service are organized solely by independent third-party organizers who bear exclusive responsibility for those events in all respects. Hangeo is not a party to any agreement between an organizer and any attendee, venue, vendor, performer, or third party.
2. Independent Organizer Status
You are an independent third party. These Organizer Terms do not create, and nothing in the relationship between you and Hangeo shall be construed to create:
- an employment relationship
- a partnership, joint venture, or agency relationship
- a franchise relationship
- a co-organizer or co-promoter relationship
- any fiduciary duty of any kind
You have no authority to bind Hangeo to any obligation, contract, or representation. You may not represent yourself as an employee, agent, representative, or affiliate of Hangeo. You are solely responsible for your own business decisions, taxes, licenses, and compliance obligations.
3. Full Event Responsibility
You are solely and exclusively responsible for every aspect of every event you organize, promote, or list on the Service. This responsibility is comprehensive and non-delegable to Hangeo. It includes, without limitation:
Permits, Licensing, and Regulatory Compliance
- Obtaining all required permits, licenses, and government authorizations — including but not limited to public assembly permits, venue operating licenses, alcohol permits, noise permits, fire marshal approvals, and any other regulatory authorizations required by applicable local, state, national, or international law
- Complying with all venue-specific rules, occupancy limits, zoning requirements, and operating conditions
- Ensuring your event complies with all applicable laws and regulations at the location and time of the event
- Maintaining any required insurance coverage for the event, including general liability coverage where applicable or legally required
Safety and Crowd Management
- Implementing reasonable safety measures appropriate for the type, size, and location of your event
- Ensuring the event venue is safe, adequately staffed, and properly managed
- Complying with applicable health and safety codes, fire codes, and emergency procedures
- Managing attendee behavior, crowd density, entry and exit procedures, and any security requirements
- Promptly addressing safety concerns, incidents, or emergencies that arise at your event
Staffing and Operations
- Hiring, supervising, and managing all staff, contractors, performers, vendors, and security personnel associated with your event
- Ensuring all persons working at or for your event comply with applicable employment, labor, and contractor laws
- Assuming full employer, contractor, or principal liability for all persons you engage in connection with your event
Attendee Communications and Refunds
- Providing attendees with timely, accurate, and complete information about event details, changes, and cancellations
- Honoring any refund, cancellation, or rescheduling commitments you make to attendees
- Managing all attendee disputes, complaints, and support requests arising from your event
- Complying with applicable consumer protection laws regarding ticket sales, refunds, and cancellations
Hangeo has no obligation to assist with, mediate, or resolve any dispute between you and an attendee, venue, vendor, or any other third party. Any such obligation rests entirely with you.
4. Accurate and Non-Misleading Event Listings
You represent and warrant that all event listings you create on the Service are:
- Accurate — all information including event name, date, time, venue, location, admission price, age restrictions, and event description is truthful and complete at the time of publication
- Non-misleading — listings do not omit material information that would cause a reasonable person to form an inaccurate impression of the event
- Updated — you will promptly update or remove listings if any material detail changes, including cancellations, venue changes, or time changes, with reasonable advance notice to attendees
- Compliant — listings do not violate applicable advertising, consumer protection, or promotional rules
Hangeo reserves the right to remove or modify any event listing that it determines, in its sole discretion, to be misleading, inaccurate, harmful, or in violation of these Organizer Terms, the Terms of Service, or the Community Guidelines, without notice or liability.
5. Attendee Data — Restricted Use
When you use the Service, you may receive or access information about attendees who RSVP to or express interest in your events ("Attendee Data"). Attendee Data is provided solely to facilitate the operation of your event and the attendee's experience.
You may use Attendee Data only to:
- Communicate directly with attendees about the specific event they engaged with
- Manage the logistics and operations of that event
- Comply with legal obligations relating to the event
You may not:
- Sell, license, rent, or otherwise transfer Attendee Data to any third party
- Use Attendee Data to build marketing lists or contact attendees about events, products, or services unrelated to the event they engaged with, without their separate affirmative consent
- Use Attendee Data in any way that violates applicable privacy law, including the GDPR, CCPA, or other applicable data protection regulations
- Combine Attendee Data with third-party data sources for profiling or behavioral targeting purposes
- Retain Attendee Data beyond what is reasonably necessary for the event purpose
You are responsible for securing any Attendee Data you receive or process and for complying with all applicable privacy laws. Hangeo is not a party to any data processing arrangement between you and attendees, and Hangeo is not liable for your misuse or mishandling of Attendee Data.
6. Anti-Discrimination and Legal Compliance
You agree that all events you organize, promote, or list on the Service shall comply with all applicable anti-discrimination laws, including but not limited to laws prohibiting discrimination based on race, color, religion, national origin, sex, gender identity, sexual orientation, age, disability, or any other characteristic protected by applicable law.
You may not use the Service to:
- Operate an event that unlawfully excludes, limits, or otherwise discriminates against attendees based on any protected characteristic
- Facilitate human trafficking, sexual exploitation, or any form of forced labor
- Operate unlicensed events where a license is required by law
- Charge admission to events without complying with applicable ticketing, consumer protection, and tax laws
- Promote or facilitate any illegal activity
Hangeo may report conduct it reasonably believes constitutes illegal activity to relevant law enforcement or regulatory authorities.
7. Prohibited Organizer Conduct
In addition to the prohibited conduct set forth in the Terms of Service and Community Guidelines, you specifically agree not to:
- Create ghost events — listings for events that are not genuinely planned or intended to occur
- Inflate attendance figures, RSVP counts, or follower counts through artificial or fraudulent means
- Use the Service to collect ticket proceeds or admission fees without intending to hold the event
- Post event listings for competing platforms, services, or marketplaces in a manner designed to divert users away from Hangeo
- Use organizer tools to scrape, harvest, or aggregate user data for commercial purposes outside the scope of legitimate event operations
- Impersonate another organizer, promoter, brand, or venue on the Service
- Use the Service to collect personal information under false pretenses
- Take any action that imposes an unreasonable or disproportionate load on Hangeo's infrastructure
8. Organizer Content License
By submitting event listings, descriptions, images, flyers, videos, or other materials ("Organizer Content") to the Service, you grant Hangeo a worldwide, non-exclusive, royalty-free, sublicensable, transferable, and perpetual license to host, store, reproduce, modify, adapt, resize, reformat, publicly display, distribute, and otherwise use your Organizer Content in connection with operating, promoting, and developing the Service, including in listings, feeds, emails, app stores, social media, press materials, and marketing communications.
You represent and warrant that: (a) you own or have all necessary rights to your Organizer Content, including rights to any music, photographs, artwork, and venue images; (b) your Organizer Content does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) you have obtained all necessary permissions from any person depicted in your Organizer Content.
You are solely responsible for any third-party intellectual property claims arising from your Organizer Content. Hangeo is not responsible for clearing music, image, or other rights for event listings or promotional materials you submit.
9. Fees, Payments, and Quota
Note: Paid organizer features are not currently active. The provisions below describe the framework that will apply when paid plans and ticketing launch. We will provide notice before any fees take effect, and no payment will be collected without a separate, affirmative action by you (such as subscribing to a paid plan).
Hangeo may offer free and paid organizer tiers, event publishing quotas, and subscription plans as described on the Service at the time of your subscription or event creation. Hangeo reserves the right to modify its fee structures, quotas, and plan terms at any time with reasonable advance notice.
You are solely responsible for all taxes, levies, and fiscal obligations arising from your events, ticket sales, or any commercial activities conducted in connection with the Service. Hangeo does not collect, remit, or assume liability for any such obligations.
All fees paid to Hangeo are non-refundable except as expressly stated in the applicable plan description or as required by applicable law. Hangeo is not responsible for any losses you incur due to event cancellation, low attendance, or any other outcome of your event.
10. No Endorsement or Guarantee
Hangeo does not vet, verify, screen, approve, certify, or endorse any organizer, event, venue, or event content. The presence of an organizer account or event listing on the Service does not imply any recommendation, endorsement, or quality guarantee by Hangeo.
Hangeo does not represent or warrant that: (a) any event will occur as listed; (b) any organizer is qualified, licensed, or competent to operate an event; (c) any venue is safe, licensed, or compliant; or (d) any event will meet attendees' expectations.
Hangeo may display organizer profiles, follower counts, or event metrics on the Service for informational purposes only. Such display does not constitute an endorsement or recommendation.
11. Indemnification
You agree to defend, indemnify, and hold harmless Hangeo, Inc. and its officers, directors, employees, contractors, agents, licensors, and successors (collectively, "Hangeo Parties") from and against any and all claims, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or relating to:
- Any event you organize, promote, co-promote, or list on the Service, including any injury, death, property damage, or other harm to any attendee, vendor, performer, or third party
- Your breach of these Organizer Terms, the Terms of Service, the Community Guidelines, or any other Hangeo policy
- Your Organizer Content, including any claim that your Organizer Content infringes any third-party intellectual property, privacy, or publicity right
- Your failure to obtain required permits, licenses, or insurance
- Your violation of any applicable law, regulation, or ordinance
- Your use or misuse of Attendee Data
- Any representation you make to attendees, venues, vendors, or third parties regarding your event, your relationship with Hangeo, or your authorization to act on Hangeo's behalf
- Any claim by any person that you employed, contracted, or engaged in connection with your event
This indemnification obligation survives termination of your organizer account and these Organizer Terms.
12. Suspension, Removal, and Termination
Hangeo reserves the right, at its sole discretion and without notice, explanation, or liability, to:
- Remove, hide, or modify any event listing or organizer profile
- Suspend or restrict your organizer access, temporarily or permanently
- Terminate your organizer account and associated access to organizer features
- Refuse to reinstate any suspended or terminated organizer account
Hangeo has no obligation to provide reasons for any moderation or termination decision. Moderation decisions are final. Hangeo is not liable to you for any loss of business, revenue, attendees, or goodwill resulting from any suspension, removal, or termination action.
Termination of your organizer account does not terminate your obligations under Sections 3, 5, 8, 11, and 14 of these Organizer Terms, which survive in perpetuity.
13. Disclaimer of Warranties
THE SERVICE AND ALL ORGANIZER TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HANGEO SPECIFICALLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, RELIABILITY, SECURITY, AND NON-INFRINGEMENT.
HANGEO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT ANY EVENT LISTING WILL REACH ANY PARTICULAR AUDIENCE; OR THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR ATTENDANCE, REVENUE, OR BUSINESS OUTCOME FOR ANY ORGANIZER.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANGEO AND THE HANGEO PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, ATTENDEES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE ORGANIZER TERMS OR YOUR USE OF THE SERVICE AS AN ORGANIZER.
HANGEO IS NOT LIABLE FOR: (A) ANY INJURY, DEATH, OR PROPERTY DAMAGE ARISING AT OR IN CONNECTION WITH ANY EVENT YOU ORGANIZE; (B) ANY CLAIM BY ANY ATTENDEE ARISING FROM YOUR EVENT; (C) ANY PERMIT VIOLATION, REGULATORY ACTION, OR LEGAL PROCEEDING RELATING TO YOUR EVENT; (D) ANY LOSS OF REVENUE DUE TO EVENT CANCELLATION, LOW ATTENDANCE, OR PLATFORM DOWNTIME; OR (E) ANY DISPUTE BETWEEN YOU AND ANY ATTENDEE, VENUE, VENDOR, PERFORMER, OR THIRD PARTY.
IN NO EVENT SHALL HANGEO'S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE ORGANIZER TERMS EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100); OR (B) AMOUNTS YOU PAID TO HANGEO IN THE THREE (3) MONTHS PRECEDING THE CLAIM GIVING RISE TO LIABILITY.
These limitations apply regardless of the legal theory under which a claim is brought, even if Hangeo has been advised of the possibility of such damages, and even if a remedy fails of its essential purpose. Some jurisdictions do not permit exclusion of certain warranties or limitation of certain damages; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law.
15. Dispute Resolution and Governing Law
These Organizer Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from or relating to these Organizer Terms is subject to the Dispute Resolution — Arbitration provision of the Hangeo Terms of Service, including the mandatory arbitration clause, class action waiver, and opt-out procedure set forth therein. Subject to that arbitration agreement, you consent to the exclusive jurisdiction of the federal and state courts located in Delaware.
16. General
Entire Agreement. These Organizer Terms, together with the Hangeo Terms of Service, Privacy Policy, Community Guidelines, and any other terms incorporated by reference, constitute the entire agreement between you and Hangeo with respect to your use of the Service as an organizer.
Severability. If any provision of these Organizer Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force and effect.
No Waiver. Hangeo's failure to enforce any provision of these Organizer Terms does not constitute a waiver of its right to enforce that provision in the future.
Assignment. You may not assign or transfer these Organizer Terms or any rights hereunder without Hangeo's prior written consent. Hangeo may assign these Organizer Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
Changes. Hangeo may update these Organizer Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use of organizer features after the effective date of any update constitutes acceptance of the revised terms.
